Effective: August 27, 2026 for merchants with an existing account on July 28, 2026. The changes in this version apply immediately to accounts created on or after July 28, 2026.
1. General Disclaimer
The information and services provided by PD Cash ("Company," "we," "us," or "our") through the payment orchestration platform ("Platform") are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
2. Technology Provider Disclaimer
PD Cash is exclusively a technology provider offering payment orchestration software as a service (SaaS). We are:
- Not a bank, financial institution, or licensed financial entity of any kind
- Not a money transmitter, money services business, or payment services provider
- Not a card acquirer or merchant of record — we do not offer direct credit or debit card acquiring
- Not a payment processor — we route transaction instructions to licensed third-party providers who bear the processing liability
- Not responsible or liable for the actions, omissions, policies, failures, delays, or errors of channel partners, payment gateways, acquiring banks, card networks, or issuing banks
- Not a custodian of merchant or customer funds at any stage of the transaction lifecycle
- Not liable for any financial loss, transaction failure, unauthorized charge, data breach, or regulatory penalty arising from the payment processing activities of those providers
All liability for actual payment processing, transaction authorization, fund settlement, fund custody, chargebacks, fraud prevention at the processing level, PCI DSS compliance for cardholder data, and regulatory compliance for payment activities rests with the respective channel partners, payment gateway providers, and acquiring banks connected to our Platform. Merchants acknowledge that their contractual and legal relationship for payment processing is with those providers, not with PD Cash.
3. No Financial Advice
Nothing on our Platform or in our communications constitutes financial, legal, tax, or investment advice. Information provided through our analytics, reports, and dashboards is for informational purposes only. You should consult qualified professionals regarding financial, legal, or tax matters related to your business.
4. Service Availability
We do not offer a contractual service level agreement and we make no uptime guarantee. We aim for continuous availability and monitor for outages, but we do not guarantee uninterrupted or error-free operation of the Platform. The Platform may be subject to:
- Scheduled maintenance and updates
- Unplanned outages or technical issues
- Third-party service disruptions (channel partners, payment providers, hosting, networks)
- Force majeure events beyond our control
We are not liable for any losses or damages resulting from Platform unavailability or interruption. Our Security page describes the resilience measures we do operate.
5. Third-Party Payment Provider Liability
Our Platform integrates with and routes transaction instructions to third-party payment providers, channel partners, and gateways. All liability for payment processing activities rests with those providers. We do not control and are not responsible or liable for:
- The availability, performance, or security of third-party payment services
- Transaction approvals, declines, or errors by payment processors
- Fund settlement timelines, delays, or failures controlled by partners and acquiring banks
- Holds, freezes, or reserves placed on merchant funds by payment providers
- Changes to third-party terms of service, fee structures, or policies
- Data handling, storage, and security practices of connected payment providers
- PCI DSS compliance or cardholder data protection at the payment processing level
- Regulatory compliance, licensing, or legal obligations of payment providers
- Chargebacks, disputes, or fraud claims processed by payment providers
- Any financial losses resulting from the actions or omissions of payment providers
You acknowledge that the payment provider bears sole and exclusive liability for all aspects of the actual payment processing, including transaction authorization, settlement, refunds, chargebacks, fund security, and compliance with applicable financial regulations. Any claim arising from payment processing must be directed to the applicable provider.
6. Transaction Success
While our routing is designed to optimize transaction success rates, we cannot and do not guarantee:
- Approval of any specific transaction
- A specific success rate percentage
- That all payment methods will be available at all times, on all plans, or in all regions
- Freedom from chargebacks or disputes
- The security or integrity of transactions once handed off to a payment provider
Transaction outcomes are determined by the payment providers, acquiring banks, issuing banks, and payment networks. All liability for transaction results, including approvals, declines, errors, and fraud, rests with the provider processing the transaction. PD Cash's role is limited to routing transaction instructions.
7. Accuracy of Information
We make reasonable efforts to ensure the accuracy of information displayed on our Platform, including transaction data, analytics, and balances. However, we do not warrant that all information is complete, accurate, or current at all times. Delays in data synchronization from third-party providers may occur, and a balance shown in the dashboard is a record of funds held at a channel partner, not funds held by PD Cash.
8. Limitation of Liability
To the fullest extent permitted by applicable law, PD Cash and its officers, directors, employees, agents, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages of any nature
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages resulting from unauthorized access to your account or transactions
- Any damages arising from the actions, omissions, failures, errors, delays, or policies of channel partners and payment providers
- Financial losses resulting from transaction declines, processing errors, settlement failures, fund holds, or account freezes imposed by payment providers
- Any regulatory fines, penalties, or legal actions arising from payment processing activities conducted by those providers
- Data breaches, security incidents, or privacy violations occurring at the payment provider level
- Any amount exceeding the greater of (a) the Platform fees you paid to us in the 12 months immediately preceding the event giving rise to the claim, or (b) US$100
Nothing in this Disclaimer excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, for gross negligence or wilful misconduct, or any other liability that applicable law does not permit to be limited. Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the least extent permitted by law.
You expressly acknowledge that PD Cash operates solely as a payment orchestration SaaS technology provider, and that liability for actual payment processing, fund handling, and financial regulatory compliance is borne by the third-party payment providers. You agree to look to the applicable provider for any claim arising from payment processing activities.
9. Merchant Responsibility
Merchants using our Platform are solely responsible for:
- Compliance with all applicable laws and regulations in their jurisdiction
- The legality of goods and services sold through their platforms, and holding any licence their category requires
- Customer service, refunds, and dispute resolution with their end customers
- Maintaining appropriate business licenses and permits
- Tax obligations arising from their commercial activities
- The security of their own systems, credentials, and API keys
10. Changes to This Disclaimer
We may modify this Disclaimer. Where a change is material, we give at least 30 days' advance notice by email and by dashboard notice before it takes effect. Other changes are effective on posting. Continued use of the Platform after the effective date constitutes acceptance.
